Digi-Key Corporation d/b/a DigiKey, together with its subsidiaries and affiliates, (collectively, "DigiKey"), operates www.digikey.com and a portfolio of other websites. The DigiKey Website Terms of Use and Conditions of Order (the "Terms and Conditions") form an agreement between you and DigiKey. The Terms and Conditions consist of both the (i) Terms of Use; and (ii) Conditions of Order, as set forth below. The Terms of Use portion governs your use of the Site (as defined below) and other matters referenced therein, and the Conditions of Order portion governs the purchase of Products (as defined below) and other matters referenced therein.

2. Propiedad intelectual. DigiKey no otorga ningún otro derecho o licencia, ya sea implícito o explícito, incluida, entre otras, ninguna licencia de patentes implícitas. ASIMISMO, DIGIKEY Y SUS PROVEEDORES EXPRESAMENTE RENUNCIAN A TODA GARANTÍA DE CUALQUIER TIPO, EXPRESA O IMPLÍCITA, ESTATUTARIA U OTRA, QUE INCLUYA, SIN LIMITACIONES, LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, ADECUACIÓN PARA UN FIN EN PARTICULAR, TÍTULO Y NO INCUMPLIMIENTO DE DERECHOS AL RESPECTO DEL SITIO, LOS SERVICIOS Y EL CONTENIDO. EL SOFTWARE Y LAS APLICACIONES DE SERVICIOS WEB ESTÁN GARANTIZADOS, EN LOS CASOS QUE LO ESTUVIERAN, SOLO DE ACUERDO CON LOS TÉRMINOS DE SUS ACUERDOS DE LICENCIA CORRESPONDIENTES, SI LOS HUBIERE, Y SUJETOS A ESTA EXCLUSIÓN DE GARANTÍAS DE LOS TÉRMINOS DE USO. DIGIKEY Y SUS PROVEEDORES NO GARANTIZAN QUE LAS FUNCIONES REALIZADAS POR EL SITIO O LOS SERVICIOS NO SUFRIRÁN INTERRUPCIONES, SERÁN OPORTUNAS Y SEGURAS, O NO CONTENDRÁN ERRORES, O BIEN QUE LOS DEFECTOS EN EL SITIO O EN LOS SERVICIOS SE CORREGIRÁN. DIGIKEY Y SUS PROVEEDORES NO GARANTIZAN LA EXACTITUD NI LA TOTALIDAD DEL CONTENIDO. DE LA MISMA MANERA, TAMPOCO GARANTIZAN QUE SE CORREGIRÁN LOS ERRORES DE CONTENIDO. EL SITIO, LOS SERVICIOS Y EL CONTENIDO SE BRINDAN EN LAS CONDICIONES EN QUE SE ENCUENTRAN Y EN FUNCIÓN DE SU DISPONIBILIDAD. DIGIKEY Y SUS PROVEEDORES NO SERÁN RESPONSABLES DEL ACCESO NO AUTORIZADO A O DE CUALQUIER ALTERACIÓN DE SUS TRANSMISIONES O DATOS, CUALQUIER MATERIAL O DATOS ENVIADOS O RECIBIDOS O NO ENVIADOS O NO RECIBIDOS, O CUALQUIER TRANSACCIÓN INGRESADA A TRAVÉS DEL SITIO. DIGIKEY Y SUS PROVEEDORES NO SERÁN RESPONSABLES POR NINGÚN CONTENIDO ENVIADO A TRAVÉS DEL SITIO O INCLUIDO EN ESTE POR TERCEROS. NO SE DEBE CONFIAR EN LOS CONSEJOS RECIBIDOS A TRAVÉS DEL SITIO PARA TOMAR DECISIONES PERSONALES, MÉDICAS, LEGALES O FINANCIERAS, Y USTED DEBE CONSULTAR UN PROFESIONAL CONVENIENTE PARA OBTENER CONSEJOS ESPECÍFICOS ADAPTADOS A SU SITUACIÓN. ES POSIBLE QUE ALGUNAS JURISDICCIONES NO PERMITAN LA EXCLUSIÓN O LIMITACIÓN DE CIERTOS TIPOS DE GARANTÍAS, INCLUIDAS, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS. 4. Descargos de responsabilidad adicionales. Sin limitar las exenciones de responsabilidad establecidas en la Sección 3 anterior:

1. Ingeniería de aplicaciones. DigiKey ofrece su ingeniería de aplicaciones únicamente para conveniencia de los clientes de DigiKey. El personal encargado de los servicios de ingeniería de aplicaciones de DigiKey se esfuerza por brindar información útil sobre los Productos. Reconoce y acepta que DigiKey puede analizar los mismos temas o temas similares analizados con usted con otros clientes de DigiKey y puede proporcionar la misma información o las mismas recomendaciones o información o recomendaciones similares a otros clientes de DigiKey. Por lo tanto, DigiKey se reserva el derecho de corregir errores, inexactitudes u omisiones, y de cambiar o actualizar el Contenido en cualquier momento sin notificación previa. DIGIKEY NI SUS PROVEEDORES EN NINGÚN CASO SERÁN RESPONSABLES ANTE USTED O ANTE TERCEROS EN RELACIÓN CON DAÑOS Y PERJUICIOS DIRECTOS, INDIRECTOS, ACCESORIOS, ESPECIALES, CONSECUENTES, PUNITIVOS O EJEMPLARES (INCLUIDOS, ENTRE OTROS, BENEFICIOS, AHORROS U OPORTUNIDADES COMERCIALES PERDIDOS) QUE SURJAN DE LOS SIGUIENTES FACTORES O SE RELACIONEN CON ESTOS: (I) EL SITIO, LOS SERVICIOS O EL CONTENIDO, O EL USO O IMPOSIBILIDAD DE USO DEL SITIO, LOS SERVICIOS O EL CONTENIDO; (II) CUALQUIER TRANSACCIÓN O COMUNICACIÓN FACILITADA O REALIZADA A TRAVÉS DEL SITIO; (III) CUALQUIER RECLAMACIÓN ATRIBUIBLE A ERRORES, OMISIONES U OTRAS INEXACTITUDES EN EL SITIO, EL SERVICIO O EL CONTENIDO; (IV) EL ACCESO NO AUTORIZADO A SUS TRANSMISIONES O DATOS O LA ALTERACIÓN DE ESTOS; (V) LAS DECLARACIONES O EL COMPORTAMIENTO DE CUALQUIER TERCERO EN EL SITIO O EL SERVICIO; O (VI) CUALQUIER OTRO ASUNTO RELACIONADO CON EL SITIO, LOS SERVICIOS O EL CONTENIDO, INCLUSO SI SE HA ADVERTIDO A DIGIKEY O A SUS PROVEEDORES SOBRE LA POSIBILIDAD DE SUFRIR DICHOS DAÑOS. SUJETO A LO ANTEDICHO, EN NINGÚN CASO, LA RESPONSABILIDAD DE DIGIKEY Y SUS PROVEEDORES EN RELACIÓN CON EL SITIO, LOS SERVICIOS O EL CONTENIDO DEBE SUPERAR DE NINGUNA MANERA LOS $100 EN TOTAL O EL MONTO MÍNIMO PERMITIDO SEGÚN LAS LEYES CORRESPONDIENTES, LO QUE SEA MAYOR, INDEPENDIENTEMENTE DE LOS FUNDAMENTOS LEGALES TEÓRICOS ALEGADOS PARA DICHA RESPONSABILIDAD, SEA ESTA CONTRACTUAL, EXTRACONTRACTUAL, DE GARANTÍA O DE OTRO TIPO.

SI USTED NO ESTÁ CONFORME CON EL SITIO, LOS SERVICIOS, EL CONTENIDO O LAS CONDICIONES DE USO, SU ÚNICO Y EXCLUSIVO RECURSO LEGAL ES DISCONTINUAR EL USO DEL SITIO, LOS SERVICIOS Y/O EL CONTENIDO.

Cualquier causa de acción en contra de DigiKey o sus proveedores al respecto del Sitio, los Servicios o el Contenido deberá interponerse en el plazo de un (1) año a partir de la fecha en que surgió el reclamo.

Es posible que algunas jurisdicciones no permitan la exclusión o limitación de ciertos tipos de daños, incluidos, entre otros, daños incidentales o consecuentes. Como resultado, es posible que las limitaciones o exclusiones anteriores no se apliquen en su caso, pero en cualquier caso se aplicarán en la medida máxima permitida por la ley.

6. Indemnización. Usted comprende y acepta que es personalmente responsable de su confianza en cualquier información o recomendación proporcionada en el Sitio, el Contenido, por el personal de ingeniería de aplicaciones de DigiKey, su comportamiento en el Sitio y sus Envíos. 7. Conducta adicional prohibida del usuario. Tiene prohibido comprometer la seguridad o alterar los recursos del sistema o las cuentas relacionadas con el Sitio. Queda terminantemente prohibido el uso o la distribución de herramientas diseñadas para poner en peligro la seguridad (por ejemplo, adivinar contraseñas manualmente o a través de programas, herramientas de violación o herramientas de sondeo de redes). DigiKey puede monitorear el uso que usted hace del Sitio, lo que incluye, sin exclusiones, los Servicios, a fin de asegurarse de que cumpla con las Condiciones de uso. Si viola o se presume la violación de estas Condiciones de uso, DigiKey se reserva el derecho de investigar sus actividades con sus propios fines y divulgar los detalles de esta infracción a otros, al exclusivo criterio de DigiKey, lo que incluye, entre otros, a autoridades gubernamentales, investigadores privados u otros usuarios del Sitio, a fin de ayudarlos a resolver los incidentes de seguridad.

Usted acepta no utilizar el Sitio de ninguna manera que viole cualquier ley o infrinja o interfiera con los derechos de propiedad intelectual de DigiKey o de terceros. Usted no podrá realizar ninguna acción que imponga o pueda imponer, al absoluto criterio de DigiKey, una carga irrazonable o desproporcionada sobre la infraestructura del Sitio o interferir o intentar interferir con el funcionamiento adecuado del Sitio o con cualquier actividad realizada en el Sitio, o pasar por alto los encabezados de exclusión de robots u otras medidas que DigiKey puede utilizar para prevenir o restringir el acceso al Sitio.

El Sitio puede contener servicios de tablón de anuncios, áreas de chat, grupos de noticias, foros, comunidades, páginas web personales, una plataforma de gestión de proyectos, herramientas de creación y configuración, calendarios u otras instalaciones de mensajes o comunicación diseñadas para permitirle comunicarse con el público en general o con un grupo (colectivamente, "Servicios de comunicación"). Usted acuerda usar los Servicios de comunicación solo para publicar, enviar y recibir mensajes y material que sean apropiados y se relacionen con el Servicio de comunicación en particular. A modo ilustrativo, sin limitaciones, usted acuerda que, al usar un Servicio de comunicación, no podrá realizar lo siguiente:

• difamar, abusar, acosar, acechar, amenazar o de alguna forma violar los derechos legales (como los derechos de privacidad y publicidad) de otros, lo que incluye, sin limitaciones, participar en actividades que inciten a la discriminación, al odio o a la violencia hacia una persona o un grupo debido a su pertenencia a una raza, etnia, género, orientación sexual, capacidad física, edad, religión o nacionalidad, o que insulte a las víctimas de crímenes de lesa humanidad al negar la existencia de esos delitos;
• publicar, exponer, cargar, distribuir o difundir cualquier tema, material o información inapropiados, profanos, difamatorios, obscenos, indecentes o ilegales, u otra información.
• cargar, visualizar o de otra manera publicar archivos que contengan imágenes, fotografías, software, código objeto, código fuente, lenguaje de marcado, bibliotecas, esquemas, especificaciones, diseños, archivos de diseño PCB, archivos de fabricación PCB, archivos Gerber u otro material que infrinja los derechos de autor, las marcas registradas, las patentes, los secretos comerciales, los derechos de privacidad, los derechos de publicidad, las obligaciones de confidencialidad u derecho de propiedad intelectual o de otra propiedad de cualquier parte;
• cargar archivos que contengan virus, malware, ransomware, archivos corruptos o cualquier otro software o programa similar que pudieran dañar o interrumpir el funcionamiento de la computadora de un tercero o del Sitio;
• usar o cargar material o información, incluidas imágenes, software, código objeto, código fuente, lenguaje de marcado, bibliotecas, esquemas, especificaciones, diseños, archivos de diseño PCB, archivos de fabricación PCB, archivos Gerber o fotografías, que estén disponibles a través del Sitio de cualquier manera que incumpla derechos de autor, marcas registradas, patentes, secretos comerciales, derechos de privacidad, derechos de publicidad, obligaciones de confidencialidad u derecho de propiedad intelectual o de cualquier otra propiedad a de las partes;
• publicitar u ofrecer vender o comprar mercaderías o servicios con fines comerciales, a menos que dicho Servicio de comunicación específicamente permita tales mensajes;
• llevar a cabo o propiciar encuestas, concursos, esquemas piramidales o cartas en cadena;
• descargar archivos publicados por otro usuario de un Servicio de comunicación en los casos en que usted sabe, o razonablemente debería saber, que la distribución de éstos no es legal de dicha manera;
• falsificar o eliminar atribuciones de autor, avisos legales u otros avisos apropiados o designaciones de propiedad exclusiva o etiquetas del origen del software u otro material contenido en un archivo cargado;
• impedir o evitar que otro usuario utilice los Servicios de comunicación o disfrute de ellos;
• violar códigos de conducta u otras pautas que pudieran aplicarse a cualquier Servicio de comunicación en particular;
• recopilar o de otra manera recabar información sobre terceros, incluidas direcciones de correo electrónico, sin el consentimiento de éstos;
• violar leyes o reglamentaciones aplicables;
• crear o falsificar una identidad con el fin de engañar a otras personas.

DigiKey no tiene la obligación de controlar los Servicios de comunicación. Sin embargo, DigiKey se reserva el derecho de revisar el material publicado en un Servicio de comunicación y de quitar material a su exclusivo criterio. DigiKey se reserva el derecho de discontinuar su acceso al Sitio, los Servicios, el Contenido y todos los Servicios de comunicación en cualquier momento sin notificación por cualquier motivo. DigiKey se reserva el derecho en todo momento de divulgar información según sea necesario para cumplir con las leyes, reglamentaciones, procesos legales o solicitudes gubernamentales aplicables, o de editar, negarse a publicar o quitar información o material, en forma total o parcial, a criterio exclusivo de DigiKey. El material cargado a un Servicio de comunicación puede estar sujeto a limitaciones publicadas de uso, reproducción o difusión, y usted es responsable de respetar dichas limitaciones en caso de descargar el material.

9. Información proporcionada por el usuario. DigiKey no reclama la propiedad de los materiales, incluidos, entre otros, texto, imágenes, fotos, software, código objeto, código fuente, lenguaje de marcado, bibliotecas, esquemas, especificaciones, diseños, archivos de diseño de PCB, archivos de fabricación de PCB, archivos Gerber u otro material que usted u otros usuarios de los Servicios de comunicación proporcionen a DigiKey (incluidos comentarios y sugerencias) o publiquen, carguen, ingresen o envíen al Sitio o sus servicios asociados (colectivamente, "Envíos"). Sin embargo, al publicar, cargar, ingresar, proporcionar o enviar su Presentación, le otorga a DigiKey, sus empresas afiliadas y licenciatarios (lo que incluye, entre otros, cualquier proveedor y los proveedores de servicio utilizados en relación con los sitios web de DigiKey, Tech-Xchange, Sitios del proyecto o eewiki.net) una licencia sin regalías, irrevocable, permanente, global para su Presentación. Las presentaciones pueden estar sujetas a limitaciones publicadas sobre uso, reproducción, visualización, adaptación o difusión, y usted es responsable de cumplir dichas limitaciones. Si dicha función está disponible en el Sitio, usted es el único responsable de la publicación de toda limitación sobre el uso o términos de licencia relacionados con sus Presentaciones que, en ningún caso, pueden contradecir o limitar estas Condiciones de uso.

Representa, garantiza y acuerda además que:

• Cualquier Presentación no constituye un "artículo de defensa" o "servicio de defensa" tal como se definen dichos términos en el Reglamento de Tráfico Internacional de Armas (el "ITAR"), 22 CFR Partes 120-130, administrado por la Dirección de Controles Comerciales de Defensa, Departamento de Estado de los Estados Unidos ("DDTC"), y no está sujeto al ITAR, (ii) un artículo en la Lista de Municiones de los Estados Unidos (tal como se define dicho término en el ITAR), o (iii) bajo la jurisdicción de DDTC;
• Si corresponde, usted ha brindado a DigiKey el Número de clasificación de control de exportación ("ECCN") preciso y correcto, tal como se define a dicho término en las Regulaciones de la Administración de Exportación, partes 730-774 de la 15 CFR y
• Todas las Presentaciones son correctas y precisas.

10. Avisos y procedimiento para presentar reclamos de infracción de derechos de autor. De conformidad con el Título 17 del Código de EE. UU., Sección 512(c)(2), las notificaciones de presuntas infracciones de derechos de autor deben enviarse al agente designado de DigiKey. NO SE BRINDARÁ RESPUESTA A LAS CONSULTAS IRRELEVANTES PARA EL SIGUIENTE PROCEDIMIENTO.

Para ser efectiva, la Notificación debe incluir lo siguiente:

1. una firma manuscrita o electrónica de una persona autorizada para actuar en nombre del propietario de un derecho exclusivo presuntamente incumplido ("Litigante");
2. identificación del trabajo protegido con derechos de autor cuyo incumplimiento se alega o, si varios trabajos protegidos con derecho de autor en un único sitio web están contemplados en una sola notificación, una lista representativa de dichos trabajos en ese sitio;
3. identificación del material que está incumpliendo, según lo alegado, o que es objeto del incumplimiento y que se quitará o cuyo acceso se deshabilitará, e información razonablemente suficiente para permitir que DigiKey ubique el material;
4. información razonablemente suficiente para permitir que DigiKey se comunique con el Litigante, como domicilio, número de teléfono y, si está disponible, una dirección de correo electrónico a través de la que se puede contactar al Litigante;
5. una declaración en la que establezca que el Litigante sabe de buena fe que el uso del material de la forma sobre la cual se queja no está autorizado por el propietario de los derechos de autor, su agente o las leyes; y
6. una declaración en la que establezca que la información contenida en la notificación es precisa y, bajo pena de perjurio, que el Litigante está autorizado a actuar en nombre del propietario de un derecho exclusivo presuntamente incumplido.

Tras recibir Notificación por escrito que contenga la información según se describe en los puntos 1 al 6 antes citados, el Proveedor de servicio deberá realizar lo siguiente:

1. DigiKey eliminará o inhabilitará el acceso al material que presuntamente está infringiendo;
2. DigiKey enviará la notificación por escrito a dicho presunto infractor ("Suscriptor");
3. DigiKey tomará las medidas razonables para notificar de inmediato al Suscriptor que ha eliminado o deshabilitado el acceso al material.

Contranotificación:

Para que sea efectiva, una Contranotificación debe ser una comunicación escrita proporcionada a DigiKey que incluya sustancialmente lo siguiente:

1. una firma manuscrita o electrónica del Suscriptor;
2. identificación del material que se ha quitado o cuyo acceso se ha deshabilitado, y la ubicación donde aparecía el material antes de ser quitado o de que su acceso se deshabilitara;
3. una declaración bajo pena de perjurio en la que se establezca que el Suscriptor sabe de buena fe que el material se quitó o deshabilitó debido a un error o identificación errónea del material que se debe quitar o deshabilitar;
4. el nombre, la dirección y el número de teléfono del Suscriptor, y una declaración de que el Suscriptor acepta la jurisdicción del Tribunal Federal de Distrito para el distrito judicial en el que se encuentra la dirección, o si la dirección del Suscriptor está fuera de los EE. UU., para cualquier distrito judicial en el que se encuentre DigiKey, y que el Suscriptor aceptará la notificación del proceso de la persona que proporcionó la notificación o un agente de dicha persona.

Tras recibir Contranotificación por escrito que contenga la información según se describe en los puntos 1 al 4 antes citados, el Proveedor de servicio deberá realizar lo siguiente:

1. DigiKey proporcionará de inmediato al Litigante una copia de la Contranotificación;
2. DigiKey informará al Litigante que reemplazará el material eliminado o dejará de deshabilitar el acceso al mismo dentro de los diez (10) días hábiles;
3. DigiKey reemplazará el material eliminado o dejará de deshabilitar el acceso al material dentro de los diez (10) a catorce (14) días hábiles posteriores a la recepción de la Contranotificación, siempre que el Agente designado de DigiKey no haya recibido una notificación de la Parte reclamante de que se ha presentado una acción para solicitar una orden judicial para impedir que el Suscriptor participe en actividades infractoras relacionadas con el material en la red o el sistema de DigiKey.

11. Confidencialidad. No deberá divulgar la Información confidencial de DigiKey mientras esta continúe siendo confidencial. A los efectos de estas Condiciones de uso, "Informaciónconfidencial de DigiKey"significa toda la información que no es de dominio público que divulga DigiKey a través de las Aplicaciones de servicios web, el Sitio o del Software, que se considera confidencial o que, debido a la naturaleza de la información o las circunstancias que se relacionan con su divulgación, podría entenderse razonablemente como confidencial. No deberá usar ni permitir el uso de la Información confidencial de DigiKey, excepto según lo expresamente permitido en virtud del presente. La Información confidencial de DigiKey incluye, sin límites, la información que no es de dominio público que se relaciona con DigiKey, nuestras ventas o las de nuestros socios comerciales, el porcentaje del margen, las cifras del margen, la tecnología, los clientes, los planes comerciales, las actividades promocionales y de mercadeo, las finanzas y otros asuntos comerciales (lo que incluye, entre otros, cualquier información sobre una de las conocidas pruebas beta de DigiKey o que se relacione con estas, o un producto de la prueba beta que obtenga por haber participado en esta) e información de terceros que DigiKey tiene la obligación de mantener como confidencial. Sin perjuicio de cualquier otra disposición en esta Sección, no tendrá la obligación de confidencialidad hacia DigiKey en conformidad con esta Sección que se menciona anteriormente al respecto de cualquier información que sea de dominio público o que se convierta en esto sin infringir estas Condiciones de uso, que se demuestre a través de documentación que usted sabía legalmente de esta al momento de recibirla de DigiKey, que se reciba a través de un tercero que no la adquirió ni divulgó igual mediante acto ilícito o malintencionado, o que se pueda demostrar a través de documentación que usted la haya desarrollado independientemente sin el uso o la confianza en la Información confidencial de DigiKey de ninguna manera.

12. Ley aplicable; Resolución de disputas. Las leyes del estado de Minnesota en los EE. UU. se aplicarán a estos Términos de uso, sin tener en cuenta ninguna disposición sobre conflictos de leyes (ya sea del estado de Minnesota o de cualquier otra jurisdicción que cause la aplicación de leyes distintas a las del estado de Minnesota). La Convención de las Naciones Unidas sobre contratos de 1980 para la venta internacional de productos, la Convención de las Naciones Unidas sobre período de limitación de ventas internacionales de productos y la Ley Uniforme de Transacciones de Información Computarizada y todas las implementaciones subsiguientes en varias jurisdicciones y las revisiones subsiguientes no se aplican a estas Condiciones de uso. Cualquier controversia o reclamo que surja de o esté relacionado con estos Términos de uso o su uso del Sitio, los Servicios o el Contenido (una "Disputa") será resuelto por la Asociación Americana de Arbitraje ("AAA") conforme a sus Reglas de Arbitraje Comercial, y POR LA PRESENTE RENUNCIA IRREVOCABLE E INCONDICIONALMENTE, EN LA MAYOR MEDIDA PERMITIDA POR LA LEY APLICABLE, CUALQUIER DERECHO QUE PUEDA TENER A UN JUICIO POR JURADO EN CUALQUIER ACCIÓN LEGAL, PROCEDIMIENTO, CAUSA DE ACCIÓN O CONTRADEMANDA QUE SURJA DE O ESTÉ RELACIONADA CON ESTOS TÉRMINOS DE USO. El arbitraje se realizará en idioma inglés ante un solo árbitro, quien, a su entera discreción, determinará la posibilidad de recurrir al arbitraje de toda disputa alegada. La sede o el lugar de arbitraje será en Minneapolis, Minnesota. En la máxima medida permitida por la ley aplicable, ningún arbitraje en conformidad con estas Condiciones de uso se juntará con un arbitraje que se relacione con otra parte en conformidad con estas Condiciones de uso, independientemente de que sea a través de procedimientos de arbitraje colectivos u otros. El laudo del árbitro, si lo hubiera, irá acompañado de una declaración de los hechos y el razonamiento en que se basa el laudo. La sentencia sobre el laudo dictado por el árbitro puede presentarse en cualquier tribunal que tenga jurisdicción sobre el mismo. Los procedimientos de arbitraje se regirán por la Ley Federal de Arbitraje (9 U.S.C. § 1 et. Seq.) y por las Reglas de la AAA, sin referencia a la ley estatal de arbitraje. Sin perjuicio de lo anterior, en lugar de o además de cualquier otro recurso disponible para DigiKey, DigiKey puede solicitar medidas cautelares o de otro tipo en cualquier tribunal estatal, federal o nacional de jurisdicción competente por (a) cualquier infracción o apropiación indebida real o supuesta de la propiedad intelectual o los derechos de propiedad de DigiKey o de terceros; o (b) cualquier incumplimiento de las disposiciones de confidencialidad de la Sección 11 de estos Términos de Uso sin incumplimiento de los requisitos de arbitraje establecidos en esta Sección 12. Por el presente, se somete a la jurisdicción exclusiva y al lugar de los tribunales estatales y federales del estado de Minnesota al respecto de cualquier medida cautelar u otra. Además, acepta que los derechos de DigiKey sobre su propiedad intelectual son de carácter especial, único y extraordinario, lo que le otorga a esos derechos un valor peculiar, por lo que el uso no autorizado, la divulgación o la pérdida de estos no puede estimarse inmediatamente y es posible que no pueda compensarse adecuadamente en daños monetarios. Cualquier disputa iniciada por usted debe iniciarse dentro de un (1) año a partir de la fecha en que surja la Disputa.

13. Disposiciones generales. Los términos y condiciones adicionales que se le pueden presentar en el Sitio como parte de Servicios adicionales o en relación con el Contenido adicional y esos términos y condiciones adicionales se aplicarán en cuanto a los Servicios o Contenido específicos a los que declaran que se aplican, excepto cuando entren en conflicto con estos Términos de uso, en cuyo caso estos Términos de uso reemplazarán y controlarán. Estas Condiciones de uso constituyen la totalidad del acuerdo entre las partes al respecto del objeto del presente. Ninguna renuncia por parte de DigiKey a invocar incumplimiento en virtud del presente debe considerarse una renuncia a invocar cualquier incumplimiento anterior o subsiguiente. Si un tribunal con jurisdicción competente o árbitro con jurisdicción determina que cualquier parte de estas Condiciones de uso en relación con una Disputa no es válida o aplicable, no repercutirá sobre ninguna otra disposición de estas Condiciones de uso. Todas estas permanecerán en vigor, y dicho tribunal o árbitro tendrá la autoridad, si es posible, de revisar cualquier disposición inválida o no aplicable para reflejar de manera más precisa la intención de las partes, como se expresa a través de la redacción original de esa disposición mientras sea válida y exigible. Ningún derecho, deber, contrato u obligación en virtud del presente podrá cederse o transferirse por su parte de pleno derecho, fusión de contratos o de otra manera sin previo consentimiento por escrito de DigiKey. Estas Condiciones de uso y el objeto que abordan, lo que incluye, sin limitaciones, el Sitio, los Servicios y el Contenido, no crean ninguna relación de empresa conjunta, sociedad, empleo o agencia entre usted y DigiKey o sus proveedores. Las obligaciones, derechos, términos y condiciones del presente serán vinculantes y tendrán validez únicamente para beneficio de las partes del presente y de sus respectivos sucesores a título universal y título particular, y no confieren ni pretenden conferir ningún derecho o recurso a terceros.

14. Cambios en los Términos de uso. DigiKey se reserva el derecho de cambiar los términos de estas Condiciones de uso sin aviso previo. Estos cambios pueden incluir, entre otros, los costos, si los hubiere, asociados con el acceso y el uso del Sitio o cualquier parte de este, lo que incluye, entre otros, el sitio web de Tech-Xchange, los Sitios del proyecto o el sitio web de eewiki.net. Usted es responsable de revisar estas Condiciones de uso antes de acceder, visitar, navegar, utilizar o interactuar o intentar interactuar con cualquier parte del Sitio o cualquier software, programa o Servicios en el Sitio, y el uso continuo del Sitio, sus Servicios o su Contenido después de cualquier modificación realizada a estas Condiciones de uso representa su aceptación a las Condiciones de uso actuales. En caso de que se realice un cambio o una actualización a estas Condiciones de uso, consecuentemente se actualizará la "Fecha de la última modificación". Como parte del proceso de registro para convertirse en un usuario registrado de ciertas funcionalidades en el Sitio, de manera predeterminada, opta por recibir mensajes de correo electrónico que DigiKey puede enviarle, a su exclusivo criterio, para notificarle los cambios realizados en estas Condiciones de uso o en otras políticas de DigiKey. Puede optar por no recibir estos mensajes de correo electrónico al cambiar la opción predeterminada. No obstante cualquier disposición de estas Condiciones de uso en contrario, DigiKey puede realizar cambios a estas Condiciones de uso a su exclusivo criterio. Dichos cambios serán vinculantes entre usted y DigiKey.

15. Versión rectora. La versión en inglés de los siguientes Términos de uso prevalecerá en caso de discrepancias entre la versión en inglés y la versión en cualquier otro idioma.

II. Condiciones de pedido

Todos los pedidos realizados con DigiKey, incluidos los de productos de Chip Outpost y a través de cualquier tienda web que pueda tener la marca con los nombres de otras entidades e incrustarse en los sitios web de esas otras entidades, están sujetos y se rigen únicamente por los términos de estas "Condiciones de pedido". Cualquier supuesto cambio o términos adicionales presentados por un cliente en cualquier documentación adicional se rechaza expresamente. Los pedidos enviados con términos y condiciones adicionales o diferentes que se desvíen o entren en conflicto con estas Condiciones de pedido pueden ser aceptados, pero únicamente sobre la base de que prevalecerán los términos de estas Condiciones de pedido y las Condiciones de pedido serán los únicos términos que rigen el pedido. DigiKey rechaza expresamente todos los demás términos y condiciones. 1. Validación y aceptación del pedido. Cuando realiza un pedido, es posible que DigiKey verifique su método de pago, dirección de envío o número de identificación de exención tributaria, en caso de que tenga, antes de procesar el pedido. Usted acepta que su pedido es una oferta para comprar, en virtud de estas Condiciones de pedido, los productos que figuran en su pedido. DigiKey, según su criterio, puede elegir aceptar su pedido procesando su pago y enviando el Producto, o bien puede, por cualquier motivo, rehusarse a aceptar su pedido o cualquier parte de éste, según el criterio exclusivo de DigiKey. 4. Pricing and Product Information.

DigiKey makes every effort to provide current and accurate information relating to the Products and prices, but does not guarantee the currency or accuracy of any such information. DigiKey relies on the original manufacturer or reseller authorized by the manufacturer to provide any product warnings and labeling requirements related to the Products and use of the Products and/or chemicals that may be in the Products, including, but not limited to warnings under California’s Safe Drinking Water and Toxic Enforcement Act (commonly known as Proposition 65). Information relating to Products is subject to change without notice. Prices are subject to change at any time prior to DigiKey’s completion of your order. In the event DigiKey discovers a material error in the description or availability of a Product that affects your outstanding order with DigiKey, or an error in pricing, DigiKey will attempt to notify you of the corrected version, and you may choose to accept the corrected version, or cancel the order. If you choose to cancel the order, and your credit card has already been charged for a purchase, DigiKey will, except as otherwise provided in these Conditions of Order, issue a credit to your credit card in the amount of the charge. All prices are in U.S. dollars. DigiKey is not responsible for pricing, typographical, or other errors in any offer by DigiKey and DigiKey reserves the right to cancel any orders arising from such errors. Except as otherwise provided on the Site, prices for Products do not include taxes, freight, duties, tariffs, or any other charges or fees, including taxes referenced in Section 8 below (collectively, "Additional Fees"), and you are responsible for all Additional Fees related to the Products and you will be invoiced for the amount of the Additional Fees.

5. Payment. DigiKey offers the following payment methods:

For U.S. Customers: Except as otherwise provided on the Site, DigiKey offers MasterCard, VISA, American Express, Discover, PayPal and prepayment by wire transfer or ACH transfer as well as open account credit to qualified institutions and businesses. Payment must be made in the currency in which the order was placed.

For Other International Customers: Except as otherwise provided on the Site, DigiKey offers MasterCard, VISA, American Express, Discover, PayPal, prepayment by wire transfer, as well as open account credit to qualified institutions and businesses. DigiKey cannot accept personal checks or certified personal checks. Payment must be made in the currency in which the order was placed.

Account Application. To obtain an account application for open account credit, you must submit an account application. Please allow sufficient time for the account application process. To avoid delay on your initial order, you may elect an alternative payment method. DigiKey reserves the right to approve or deny any open account credit application in its sole discretion, including determining or changing the credit limits for such account.

Overpayments. If you make an overpayment, DigiKey may apply the excess amount to any such outstanding invoice(s) with DigiKey that are due in its discretion. DigiKey will then issue you a refund of any remaining excess amount if it exceeds DigiKey’s third-party costs of processing such refund. Otherwise, DigiKey will credit your account with us to the extent of any overpayment if the remaining excess amount is less than such costs. Upon your request, DigiKey will refund to you any such remaining excess amount DigiKey credits to your account. DigiKey will determine the method of payment for such refund in its discretion. Any such amount DigiKey is unable to refund to you will be credited to your account. Any amount DigiKey credits to your account will be handled in accordance with applicable law. Such refunds and credits remain subject to these Conditions of Order regarding refunds and credits.

6. Shipping Charges.

Tariffs and Other Fees. All applicable duties, tariffs, taxes, brokerage fees, import licenses and any other fees incurred, charged, or otherwise relating to the shipping, importation, and/or return of Products shall be your responsibility and shall be invoiced to you. See DigiKey’s Tariff Resources for more information regarding our current tariff policies.

Products Shipping from DigiKey’s Warehouse. Except as otherwise provided on the Site, (1) shipping or freight charges and insurance will be paid by the customer*, (2) all sales are made FOB DigiKey’s warehouse in Thief River Falls, MN, USA (unless Products are shipped directly from the supplier), and (3) shipping or freight charges from DigiKey’s warehouse in Thief River Falls, MN, USA are prepaid and added to the invoice, billed collect or billed to a third party.

* When a check or money order accompanies your order, DigiKey pays all shipping and insurance via ground service level to all addresses in the U.S. and Canada.

Products Shipping Directly from Suppliers. Except as otherwise provided on the Site, (1) the shipping costs will be paid by the customer (CPT as defined by INCOTERMS 2020), (2) shipping or freight charges from supplier’s warehouse are prepaid and added to the invoice, (3) all applicable import licenses, duties, tariffs, taxes, and brokerage fees are your responsibility. Products purchased as part of the marketplace program are shipped from the Product supplier, however, DigiKey is the seller of such Products.

Excessive Weight or Size. Shipments of excessive weight or size may require additional charges. DigiKey will notify you prior to shipment if these conditions exist and such charges shall be added to your invoice.

For International Shipments: Availability of ship methods is dependent on the destination country. Except as otherwise provided on the Site, (1) the shipping costs will be prepaid and added to your order, and (2) all import licenses, duties, tariffs, taxes and brokerage fees will be your responsibility. 7. Handling Charge. There is no minimum order or handling fee.

8. Taxes. Except as otherwise provided on the Site, prices shown do not include any federal, state or local taxes, or any other taxes or charges imposed by any government authority, including, without limitation, sales, use, excise, value-added or similar taxes. Where applicable, such taxes and charges shall be billed as a separate item and paid by you. Orders are accepted with the understanding that such taxes and charges shall be added, as required by law. DigiKey charges sales tax unless you have a valid sales tax exemption certificate on file with DigiKey. DigiKey will not refund tax amounts collected in the event a valid sales tax certificate is not provided. If you provide a certificate that is not accepted for any reason by any governmental or regulatory authority, and DigiKey is required to pay tax on your purchase, you will reimburse and indemnify DigiKey for the amount of such tax and any related penalties or other charges, and DigiKey’s reasonable expenses, including attorneys’ fees, incurred in connection with the payment and collection of such tax. 9. Late Payments; Dishonored Checks. Invoices not paid when due will bear interest from the due date until paid in full at the rate of one and one-half percent (1 ½%) per month or the maximum rate permitted by applicable law, whichever is less. You shall pay to DigiKey all costs incurred by DigiKey in collecting on any dishonored check or on any past due amount from you, including all court costs, collection costs, and attorney’s fees. IF A CHECK YOU GIVE DIGIKEY FOR PAYMENT IS DISHONORED FOR ANY REASON BY THE BANK OR OTHER INSTITUTION ON WHICH IT IS DRAWN, YOU AGREE TO PAY DIGIKEY $30.00 AS A SERVICE CHARGE (IF THE CHECK CANNOT BE REDEPOSITED).

10. Out of Stock. If a Product you order is out of stock at time of order placement, you may elect to have it shipped on a subsequent shipment date, subject to availability. Except as otherwise provided on the Site, additional shipping charges will apply to each shipment. Backorders will be held based on your request. The provisions of this Section 10 do not apply to Products that are designated as Chip Outpost Products (see Sections 14 and 16 below regarding Chip Outpost Products).

11. Export Compliance. In addition to the U.S. and its territories, DigiKey accepts international orders. Some Products may not be available for shipment outside the U.S. All orders of international origin or destination are subject to applicable export control and sanctions laws, restrictions, regulations and orders of the U.S. You agree to comply with all applicable export control laws, restrictions, regulations and orders of the U.S. and applicable foreign jurisdictions, agencies or authorities, including, without limitation, the Export Administration Regulations administered by the Bureau of Industry and Security, U.S. Department of Commerce, the Foreign Trade Regulations administered by the Census Bureau, U.S. Department of Commerce, and the sanctions and regulations administered by the Office of Foreign Assets Control, U.S. Department of Treasury. You shall not, directly or indirectly, sell, export, re-export, transfer, transship, assign, use, or dispose of Products in a manner which may result in any non-compliance with applicable export control and sanctions laws, restrictions, regulations, and orders of the U.S. or applicable foreign jurisdictions, agencies or authorities. You are responsible for obtaining any license or other official authorizations that may be required to export, re-export or import Products, including, without limitation, any required license or applicable license exception necessary to, directly or indirectly, export, re-export, import, or cause to be exported, re-exported, or imported, Products to any country, individual, corporation, organization, or entity to which such export, re-export, or import is restricted or prohibited under applicable export control or sanctions laws and regulations (including, but not limited to, any of the foregoing under sanctions or embargoes administered by the United Nations, the U.S. Department of State, the U.S. Department of Treasury, the U.S. Department of Commerce, the European Union, or any other applicable government authority). Certain items may be controlled by the U.S. Government and authorized for export only to the country of ultimate destination for use by the ultimate consignee or end-user(s) herein identified. In such cases, these items may not be resold, transferred, or otherwise disposed of, to any other country or to any person other than the authorized ultimate consignee or end-user(s), either in their original form or after being incorporated into other items, without first obtaining approval from the U.S. Government or as otherwise authorized by U.S. law and regulations.

12. Freight Damage. If you receive merchandise that has been damaged in transit, it is important to keep the shipping carton, packing material and parts intact. Please contact a DigiKey Customer Service representative immediately.

13. Return Policy. In certain cases, DigiKey will accept merchandise returns which conform to the terms of DigiKey’s return policies (including the terms set forth in the Return Material Authorization form), and any applicable return policies of a manufacturer or supplier, subject to the terms outlined in this Section 13, and will replace the Product or refund or credit your money at DigiKey’s option, unless providing such refund or credit is prohibited under applicable law, or where any government agency or authority has advised DigiKey that a refund or credit should not be issued without governmental approval. Merchandise and Products purchased from third parties and not from DigiKey directly are not eligible for return, refund or credit, or exchange. DigiKey reserves the right to issue any refund in the form of a credit to your account with DigiKey, and to reject a return if you have not adhered to the applicable return policies.

To facilitate processing of returned merchandise:

• You must obtain a Returned Merchandise Authorization ("RMA") number prior to returning any Product(s) here.
• For all returns not relating to manufacturers’ warranties, returns must be made within sixty (60) days of date of invoice, be accompanied by the original invoice number, include a brief explanation of the reason for the return, and be in the original packaging and in resalable condition.
• Certain products shipped directly from suppliers must be returned to the supplier after obtaining the RMA number from DigiKey. Return Material Authorization form
• Upon obtaining an RMA number you will be instructed where to return the Product.
• All electrostatic discharge ("ESD") sensitive devices returned to DigiKey may undergo incoming inspection, utilizing DigiKey’s ESD work instructions and the most recent version of the ANSI/ESD S20.20 standard published by the American National Standard Institute and EOS/ESD Association, Inc. An ESD product that has not been handled properly according to the standard will not be eligible for credit or refund.
• Return freight charges must be prepaid or deducted from the invoice credit, as outlined in the RMA online process.
• Products returned solely due to customer error may be subject to a restocking charge.
• To the extent that DigiKey purchases a Product from a manufacturer specifically for you, such Products may be Non-Cancellable/Non-Returnable.
• Parts specified as "Non-Cancellable/Non-Returnable" at time of quote or sale cannot be cancelled and are not returnable, including Products designated as Chip Outpost Products, except for the Chip Outpost Limited Warranty (see Section 16 below).
• Returns relating to manufacturers’ warranties are subject to the terms and conditions of the applicable manufacturer’s warranty and the applicable manufacturer’s return policies for the Product (e.g., some Products may require return directly to the manufacturer). Please contact a Customer Service representative for details.

By returning any Product to DigiKey or supplier (as applicable), you represent and warrant that the returned Product was purchased through a DigiKey site, is not counterfeit or otherwise non-conforming. You acknowledge that counterfeit Products are not eligible for return, refund or credit, or exchange, and that DigiKey does not accept any counterfeit Products. You also agree that DigiKey or supplier (as applicable) may test any returned Product to determine whether such Product is counterfeit, non-conforming, or otherwise violates these Conditions of Order. In the event DigiKey or supplier suspects or determines, in its sole discretion, that any returned Product, including, without limitation, any electronic components, assemblies, supplies, and equipment contained therein, is counterfeit, non-conforming, or otherwise violates these Conditions of Order, DigiKey or supplier may: (i) report such problem to any applicable governmental or regulatory agency or any other applicable third party; (ii) quarantine such Product for further testing or other analysis without providing any replacement Product or refund or credit until such time as a determination about the Product’s conformance to these Conditions of Order can be made; (iii) if such Product is determined to be counterfeit, quarantine such Product for a period of five (5) years, or longer if required by applicable law, and after the applicable quarantine period, irreversibly alter such Product so as to render the Product, including the internal elements physically unusable; and (iv) take such other actions as may be required or permitted under applicable law and DigiKey’s counterfeit avoidance policy. In the event you send DigiKey any counterfeit Product, you will be liable for all costs, expenses, and damages related thereto, and you agree to indemnify DigiKey against any claims and damages, including attorneys’ fees and costs, related to such counterfeit Product(s).

14. Chip Outpost. Chip Outpost Products are excess inventory products. Chip Outpost Products include, without limitation, excess electronic components that are provided directly from the Product supplier or as part of a supplier-authorized channel return from a franchised distributor. Chip Outpost Products may include certain imperfections, including, but not limited to, aged date codes, or may have been discontinued and/or obsoleted by the manufacturer. Chip Outpost Products quantities are limited and are not available for backorders. MANUFACTURERS’ WARRANTIES DO NOT APPLY TO CHIP OUTPOST PRODUCTS. ALL SALES OF CHIP OUTPOST PRODUCTS ARE FINAL. If you purchase a Product designated as a Chip Outpost Product, you understand that the Product is obtained and sold by DigiKey on a Non-Cancellable/Non-Returnable basis; therefore, your purchase of a Product designated as a Chip Outpost Product is Non-Cancellable/Non-Returnable, except for the Chip Outpost Limited Warranty (see Section 16 below).

15. Customer’s Representations as to Merchantability and Suitability of Product for Any Use. DigiKey distributes Products manufactured by third-party manufacturers. Without limitation, DigiKey does not test the Products for conformance with any manufacturer specifications, and does not make any representation as to the merchantability and suitability of any Products for any use, whether or not such use is known to DigiKey and whether or not a Product is a Value-Added Product or Customized Product (as defined below). Products sold by DigiKey are not designed, intended or authorized for use in life safety, life support, life sustaining, surgical, human implant, nuclear, aircraft applications, or for any other application in which the failure of a single component could create a situation in which property damage, personal injury, or death may occur. Customer represents and warrants to DigiKey that customer is solely responsible for determining whether the Products are merchantable and suitable for the use(s) customer intends, including the merchantability and suitability of the Product for use in any device or in any application. Any unauthorized use of a Product is at customer’s own risk. In addition, you acknowledge that DigiKey is not on the Qualified Manufacturers List ("QML"), and does not sell Qualified Product List ("QPL") components or products for military applications. Any references to QPL or military specifications are for reference only. You agree that all purchases of Products are for commercial or other applications that do not require QPL components. WITHOUT LIMITING YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 17, YOU AGREE TO INDEMNIFY AND DEFEND DIGIKEY AND THE MANUFACTURER OF THE PRODUCTS AGAINST ALL DAMAGES, COSTS, AND EXPENSES THAT MAY BE INCURRED, INCLUDING WITHOUT LIMITATION, ATTORNEY FEES AND COSTS RELATING TO ANY LAWSUIT OR THREATENED LAWSUIT ARISING OUT OF THE USE OF PRODUCTS IN UNAUTHORIZED OR UNSUITABLE APPLICATIONS.

16. Product Warranty; Disclaimer; Limitation of Liability.

A. General Product Limited Warranty. EXCEPT AS OTHERWISE EXPRESSLY SET FORTH IN THIS SECTION 16 ALL PRODUCTS ARE SOLD ON AN "AS-IS", "WHERE IS", AND "AS-AVAILABLE" BASIS. DigiKey agrees to transfer to you, at the time of sale, to the extent transferable, the warranties DigiKey receives from manufacturers with respect to the Products sold by DigiKey to you. COPIES OF SUCH MANUFACTURERS’ WARRANTIES ARE AVAILABLE PRIOR TO THE PURCHASE OF PRODUCTS BY CONTACTING DIGIKEY. MANUFACTURERS’ WARRANTIES DO NOT APPLY TO CHIP OUTPOST PRODUCTS AND INSTEAD PRODUCTS PURCHASED THROUGH CHIP OUTPOST ARE SUBJECT TO THE SEPARATE CHIP OUTPOST LIMITED WARRANTY SET FORTH IN THIS SECTION 16. ON CERTAIN SPECIALLY ADVERTISED INVENTORY ITEMS, THERE ARE NO MANUFACTURER WARRANTIES OF ANY TYPE, AND SUCH PRODUCTS ARE SOLD ONLY IN LIMITED QUANTITY AND NO BACKORDERS OR RETURNS OF SUCH PRODUCTS ARE AVAILABLE.

B. Chip Outpost Limited Warranty. This limited warranty applies only to Products designated by DigiKey, on the Site or otherwise, as Chip Outpost Products (the "Chip Outpost Products"). If you elect to purchase any Chip Outpost Product, DigiKey warrants solely to the original purchaser of the Chip Outpost Product from DigiKey, that the Chip Outpost Product will be free from defects in materials and workmanship for three (3) years from the original invoice date of such Chip Outpost Product (the “Chip Outpost Limited Warranty Period”). The limited warranty does not apply to any product that: (i) has been subject to abuse, misuse (including, without limitation, static discharge), neglect, accident or modification; (ii) is otherwise not capable of being tested; (iii) has been installed in an unsuitable installation environment for the product; (iv) has been used for purposes other than for which it was designed; or (v) has been damaged by fire, flood, wind, lightening or similar causes.

1. Exercising this Limited Warranty. As your exclusive remedy for any breach of this limited warranty, DigiKey shall, at DigiKey’s option: (i) replace any Chip Outpost Product that does not conform to this limited warranty; or (ii) refund or credit to you the purchase price of the defective Chip Outpost Product; provided, however, that these remedies are conditioned on your returning the Chip Outpost Product during the Chip Outpost Limited Warranty Period, or within ten (10) days thereafter, along with a written description of the claimed defect(s), and such return is subject to DigiKey’s Return Policy (see Section 13 above).

C. Value-Added Products and Services Limited Warranty DigiKey may offer for sale (1) Products that it modifies and (2) assemblies made from a combination of Products, which may or may not be included in an enclosure (each a "Value-Added Product" and collectively, "Value-Added Products"), and Value-Added Products shall be Products under these Terms and Conditions. You have the sole responsibility to determine whether a Value-Added Product is suitable for the use or uses you intend and you are responsible for all quality and tolerance testing. Subject to the disclaimers below, DigiKey agrees to transfer to you, at the time of sale, to the extent transferable, the warranties DigiKey receives from manufacturers with respect to the Products that make up a Value-Added Product. DigiKey warrants for a period of ninety (90) days following the delivery of a Value-Added Product by DigiKey to the original purchaser that DigiKey’s modification or assembly services regarding the Value-Added Product ("Value-Added Services") will be free from material defects in workmanship. DigiKey’s warranty is limited to the Value-Added Services and does not apply to: (i) any of the Products that make up the Value-Added Product; or (ii) any sales kits or other packaging of Products by DigiKey where no modification or assembly is required or conducted by DigiKey. This warranty applies to the original purchaser only, and for a ninety (90) day period from the date of delivery to the original purchaser, and only to the Value-Added Services related to a Value-Added Product subject to normal use and service. This warranty does not cover damage resulting from shipping, negligence, accidental misuse or abuse and improper operation, maintenance, service or storage. As your exclusive remedy for any breach of this warranty for Value-Added Services, DigiKey shall, at DigiKey's option, (i) replace a Value-Added Product that does not conform to this warranty or (ii) refund or credit to you the purchase price of the Value-Added Product; provided, however, that these remedies are conditioned on your returning the Value-Added Product during the warranty period, along with a written description of the claimed defect(s) regarding the Value-Added Services, and such return is subject to DigiKey's Return Policy (see Section 13 above).

D. Customized Products and Services Limited Warranty. DigiKey may, at the request of a customer, assemble, augment, and/or program Products in accordance with specifications provided by a customer ("Customization Services"), and any such Products assembled, augmented, or programmed by DigiKey (each a "Customized Product" and collectively, "Customized Products") also shall be Products under these Terms and Conditions. The customer has the sole responsibility to determine whether the Customized Product is suitable for the use or uses the customer intends and customer is responsible for all quality and tolerance testing. The customer also represents and warrants that all information contained in any specification customer provides to DigiKey is complete and accurate and any Customized Product prepared in accordance with the customer’s specifications will not infringe or misappropriate the right of any third party, including, without limitation, any intellectual property right. A Customized Product is Non-Cancellable/Non-Returnable. DigiKey warrants that Customization Services will conform to customer’s written specifications accepted by DigiKey for ninety (90) days after delivery of Customized Products by DigiKey. DigiKey does not warrant the Products themselves or the Customized Product, except with respect to the Customization Services as provided for herein. This warranty applies to the original purchaser only, for a ninety (90) day period from the date of delivery to the original purchaser, and only to Customized Products subject to normal use and service. This warranty does not cover damage resulting from shipping, negligence, accidental misuse or abuse and improper operation, maintenance, service or storage. As your exclusive remedy for any breach of this warranty for Customization Services, DigiKey shall, at DigiKey's option, (i) replace a Customized Product that does not conform to this warranty or (ii) refund or credit to you the purchase price of the Customized Product; provided, however, that these remedies are conditioned on your returning the Customized Product during the warranty period, along with a written description of the claimed defect(s) regarding the Customization Services, and such return is subject to DigiKey's Return Policy (see Section 13 above).

E. No Warranty for Applications Engineering. DigiKey offers its applications engineering solely as a convenience to DigiKey customers. DigiKey applications engineering personnel strive to provide useful information regarding Products. DigiKey does not guarantee that any information or recommendation provided is accurate, complete, or correct, and DigiKey shall have no responsibility or liability whatsoever in connection with any information or recommendation provided, or your reliance on such information or recommendation. You are solely responsible for analyzing and determining the appropriateness of any information or recommendation provided by DigiKey applications engineering personnel, or other DigiKey personnel, and any reliance on such information or recommendation is at your sole risk and discretion. Without limiting the generality of the foregoing, any recommended substitutes or cross-references with respect to Products are simply recommendations, and DigiKey does not guarantee that such information or recommendations are accurate, complete or correct.

F. Product Recommendations. YOU ACKNOWLEDGE THAT ANY PRODUCT RECOMMENDATIONS (INCLUDING, WITHOUT LIMITATION, SUGGESTIONS THAT A PRODUCT IS "FOR USE WITH", OTHERWISE COMPATIBLE WITH ANOTHER PRODUCT, OR IS SIMILAR IN NATURE OR A SUBSTITUTE FOR SUCH PRODUCT) ARE FOR INFORMATIONAL PURPOSES ONLY AND ARE PROVIDED BY DIGIKEY ON AN "AS IS" BASIS WITHOUT WARRANTY. SUCH PRODUCT RECOMMENDATIONS MAY NOT RESULT IN THE PRODUCTS RECOMMENDED PERFORMING FUNCTIONS IN THE MANNER RECOMMENDED OR CONTEMPLATED, AND YOUR PURCHASE AND/OR USE OF SUCH PRODUCTS RECOMMENDED IS ENTIRELY AT YOUR SOLE RISK.

G. No Other Warranties. Except for a duly-authorized officer of DigiKey making an additional warranty in writing, no employee or agent of DigiKey or any other party is authorized to make any warranty in addition to those made in this Section 16.

H. Third Party Testing. DigiKey reserves the right to have an independent third party examine and test any Product or Service that is allegedly defective to determine whether such Product or Service is, in fact, defective. The conclusion of such independent third party shall be conclusive, final and binding on you.

I. Disclaimer of All Other Warranties. EXCEPT AS OTHERWISE SET FORTH IN THIS SECTION 16, (i) DIGIKEY MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO ANY PRODUCTS OR SERVICES (INCLUDING, WITHOUT LIMITATION, VALUE-ADDED SERVICES OR CUSTOMIZATION SERVICES); AND (ii) DIGIKEY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH REGARD TO THE PRODUCTS AND SERVICES (INCLUDING, WITHOUT LIMITATION, VALUE-ADDED SERVICES AND CUSTOMIZATION SERVICES). WITHOUT LIMITING THE FOREGOING, EXCEPT AS EXPESSLY SET FORTH IN THIS SECTION 16, DIGIKEY MAKES NO OTHER WARRANTY, AND HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO VALUE-ADDED PRODUCTS, VALUE-ADDED SERVICES, CUSTOMIZED PRODUCTS, CUSTOMIZATION SERVICES, AND THE PRODUCTS THAT COMPRISE THE VALUE-ADDED PRODUCTS AND CUSTOMIZED PRODUCTS. CUSTOMER ACKNOWLEDGES AND AGREES THAT CREATING VALUE-ADDED PRODUCTS AND CUSTOMIZED PRODUCTS COULD VOID OR INVALIDATE ANY WARRANTY PROVIDED BY THE MANUFACTURER OF THE PRODUCTS. CUSTOMER ACCEPTS THE RESPONSIBILITY FOR REVIEWING ALL MANUFACTURER WARRANTIES AND DETERMINING THE EXTENT TO WHICH THEY MAY APPLY OR BE VOIDED BY THE MODIFICATION, COMBINATION, OR CUSTOMIZATION OF PRODUCTS TO CREATE VALUE-ADDED PRODUCTS AND CUSTOMIZED PRODUCTS AND CUSTOMER IS RESPONSIBLE FOR ALL QUALITY TESTING. WITHOUT LIMITING ANY OTHER TERM OR PROVISION OF THESE CONDITIONS OF ORDER, DIGIKEY FURTHER EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION THAT A VALUE-ADDED PRODUCT OR CUSTOMIZED PRODUCT IS SUITABLE FOR USE IN ANY MEDICAL DEVICE OR IN ANY APPLICATION INCLUDING, BUT NOT LIMITED TO, LIFE SAFETY, LIFE SUPPORT, LIFE SUSTAINING, SURGICAL, HUMAN IMPLANT, NUCLEAR, OR AIRCRAFT APPLICATIONS OR FOR ANY USE OR APPLICATION IN WHICH THE FAILURE OF A SINGLE COMPONENT COULD CREATE A SITUATION IN WHICH PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH IS LIKELY TO OCCUR. Products may be subject to patent, trademark, copyright, design and other rights of third parties. DigiKey shall in no event whatsoever be responsible or liable in the event of any claim of infringement or violation of any such rights. If an order includes software or other intellectual property, such software or other intellectual property is provided by DigiKey to you subject to any and all applicable intellectual property rights of third parties and user licenses. Nothing herein shall be construed to grant any rights or license to use any software or other intellectual property in any manner or for any purpose not expressly permitted by such license agreement.

J. Limitation of Liability. IN NO EVENT SHALL DIGIKEY BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS, OR LOSS OF BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO ANY PRODUCT OR SERVICE, EVEN IF DIGIKEY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUBJECT TO THE FOREGOING, IN NO EVENT SHALL THE LIABILITY OF DIGIKEY RELATING IN ANY WAY TO ANY PRODUCT OR SERVICE (INCLUDING, WITHOUT LIMITATION, VALUE-ADDED SERVICES AND CUSTOMIZATION SERVICES) EXCEED THE PURCHASE PRICE FOR THE PRODUCT (AND WITH RESPECT TO VALUE-ADDED SERVICES AND CUSTOMIZATION SERVICES, THE PRODUCT TO WHICH SUCH SERVICE RELATES), REGARDLESS OF THE LEGAL THEORY ASSERTED FOR SUCH LIABILITY, WHETHER IN CONTRACT, TORT, WARRANTY OR OTHERWISE. YOU ACKNOWLEDGE THAT THE AMOUNTS PAYABLE FOR THE PRODUCTS ARE BASED IN PART ON THESE LIMITATIONS, AND YOU FURTHER AGREE THAT THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Some jurisdictions may not allow the exclusion or limitation of certain types of damages, including, without limitation, incidental or consequential damages. As a result, the above limitations or exclusions may not apply to you, but in any event shall apply to the maximum extent allowed by applicable law.

17. Indemnification. You understand and agree that you are personally responsible for your use or inability to use the Products. You agree to indemnify, defend, and hold harmless DigiKey and DigiKey’s joint venturers, business partners, licensors, affiliates, suppliers, employees, officers, directors, owners, representatives and agents from and against all claims, losses, expenses, damages and costs (including, but not limited to, direct, incidental, special, consequential, punitive, exemplary, and indirect damages), and reasonable attorneys’ fees, resulting from or arising out of your use, misuse, or inability to use the Products, or any violation by you of these Conditions of Order.

18. Force Majeure. DigiKey will not be liable for delays in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, pandemics, quarantine restrictions, riots or war. DigiKey’s time for delivery or performance will be extended by the period of such delay or DigiKey may, at its option, cancel any order or remaining part thereof, without liability, by giving notice to you.

19. Applicable Law; Dispute Resolution; Limitation on Actions. The laws of the State of Minnesota in the U.S. shall apply to these Conditions of Order, without regard to any conflict of law provisions (whether the State of Minnesota or any other jurisdiction that would cause the application of laws other than those of the State of Minnesota). The 1980 United Nations Convention on Contracts for the International Sale of Goods, the United Nations Convention on the Limitation Period in the International Sale of Goods, and the Uniform Computer Information Transactions Act, and any implementations thereof in various jurisdictions and any subsequent revisions thereto, shall not apply to these Conditions of Order. Any controversy or claim arising out of or relating to these Conditions of Order or your purchase or use of Products (a "Dispute") shall be settled by the American Arbitration Association ("AAA"), under its Commercial Arbitration Rules, and YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CAUSE OF ACTION OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE CONDITIONS OF ORDER. The arbitration will be conducted in the English language before a single arbitrator and such arbitrator shall, in his or her sole discretion, determine the arbitrability of any alleged Dispute. The seat or place of arbitration shall be conducted in Minneapolis, Minnesota. To the fullest extent permitted by applicable law, no arbitration under these Conditions of Order will be joined to an arbitration involving any other party subject to these Conditions of Order, whether through class arbitration proceedings or otherwise. The award of the arbitrator, if any, shall be accompanied by a statement of the facts and reasoning upon which the award is based. Judgment on an award rendered by an arbitrator may be entered in any court having jurisdiction thereof. The arbitration proceedings will be governed by the Federal Arbitration Act (9 U.S.C. § 1 et. Seq.) and by the AAA Rules, without reference to state arbitration law. Notwithstanding the foregoing, in lieu of or addition to any other remedies available to DigiKey, DigiKey may seek injunctive or other relief in any state, federal, or national court of competent jurisdiction for any actual or alleged infringement or misappropriation of DigiKey’s or any third party’s intellectual property or proprietary rights. You hereby consent to the jurisdiction and venue of the State and Federal courts of the State of Minnesota with respect to any such injunctive or other relief. You further acknowledge that DigiKey’s rights in its intellectual property are of a special, unique, extraordinary character, giving those rights peculiar value, the unauthorized use, disclosure, or loss of which cannot be readily estimated and may not be adequately compensated for in monetary damages. Any Dispute initiated by you must be instituted within one (1) year from the date of purchase or provision of the Product at issue except for a Dispute based on breach of warranty which must be instituted within ninety (90) days of the date DigiKey denies a warranty claim under Section 16 of these Conditions of Order.

20. General Provisions. These Conditions of Order constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by DigiKey of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. If any part of the Conditions of Order are determined by a court of competent jurisdiction or arbitrator with jurisdiction over a Dispute to be invalid or unenforceable, it will not impact any other provision of the Conditions of Order, all of which will remain in full force and effect, and such court or arbitrator shall have the authority, if possible, to revise any invalid or unenforceable provision to most accurately reflect the intent of the parties as shown by the original wording of that provision while rendering it valid and enforceable. No rights, duties, agreements or obligations hereunder, may be assigned or transferred by you by operation of law, merger or otherwise, without the prior written consent of DigiKey. These Conditions of Order and the subject matter that they cover, including without limitation the purchase of Products, do not create any joint venture, partnership, employment, or agency relationship between you and DigiKey or its suppliers. The obligations, rights, terms and conditions hereof will be binding upon and inure solely to the benefit of the parties hereto and their permitted respective successors and assigns, and do not and are not intended to confer any rights or remedies upon third-parties.

21. Changes to the Conditions of Order. DigiKey reserves the right to change the terms of these Conditions of Order without notice. You are responsible for reviewing these Conditions of Order prior to your purchasing of Products, and your purchasing of Products after any changes to these Conditions of Order acknowledges your agreement to the then current Conditions of Order. In the event that a change or update is made to these Conditions of Order, the “Date of Last Modification” will be updated accordingly. As part of the registration process to become a registered user of certain functionality on the Site, as a default, you elect to receive e-mails that DigiKey may in its discretion send notifying you of changes to these Conditions of Order and/or other DigiKey policies. You may elect not to receive these e-mails by opting out of this default. Notwithstanding any provision of these Conditions of Order to the contrary, DigiKey may make changes to these Conditions of Order in its sole discretion and such changes shall be binding on you and DigiKey.

22. Governing Version. The English version of these Conditions of Order shall prevail wherever there is a discrepancy between the English version and any other language version.
